NOTE:  All shares of Citadel Broadcasting Corporation common stock held on or before June 2, 2010 were canceled upon the Company's emergence from bankruptcy on June 3, 2010 as part of the Modified Joint Plan of Reorganization approved by the US Bankruptcy Court.   For additional information, please see www.kccllc.net/citadel.   

New Equity Information and Forms:

As of June 3, 2010, Citadel Broadcasting Corporation emerged from Chapter 11 protection and now has three forms of equity:  Class A Common Stock; Class B Common Stock; and Special Warrants.

To exercise your Special Warrants, you will need to first complete (i) an exercise form, (ii) an ownership certification, and (iii) an FCC Worksheet.  After completing these forms, please send them to the Warrant Agent at the address indicated below, and you will be advised whether you meet the eligibility requirements, pursuant to the Warrant Agreement, to exercise the Special Warrants and receive Class B Common Stock.

To convert your Class B Common Stock into Class A Common Stock, you will need to first complete (i) a Class B conversion notice, (ii) an ownership certification and (iii) an FCC Worksheet.  After completing these forms, please send them to the Transfer Agent at the address indicated below, and you will be advised whether you meet the eligibility requirements, pursuant to the Fourth Amended and Restated Certificate of Incorporation, to convert the Class B Common Stock.
